Ooh I Love services and sale of products are only offered, and may only be used, where such use and sale of products by Ooh I Love is permitted by law. Any use of our services and purchase of products where prohibited, shall be null and void.

Ooh I Love reserves the right to limit the number of users per household and the number of products that each user may purchase. No user may create or have more than one account.

To participate in an auction a user must first register and create an account with Ooh I Love. Each user may only register one account. All registrations are subject to Ooh I Love acceptance. Each user may register only once using his or her street address, and the use of a P.O. Box address or any similar arrangement is not permitted. The user represents and affirms that all registration information provided is true and correct, and complete in all respect.

During the registration you must choose user name, which must not in any way be offensive, indecent, insulting or intended to deceive or mislead other users or persons. Nor may a user name advertise for or promote any other websites or services, provide links to or for other websites. Each user shall be responsible for keeping their passwords confidential and secure. You agree and acknowledge that it is you are solely responsible for maintaining the security of your password and all activities on your account, and agree to notify Ooh I Love immediately of any unauthorized or improper activity discovered or suspected on your account. Ooh I Love reserves the right at any time to, cancel and terminate the account and void the purchases of any user who Ooh I Love shall have determine, in its sole discretion, to have violated any of these terms. In addition, Ooh I Love may also withhold any deliveries of products and/or any refunds that may otherwise be due to any such user, and such user hereby agrees to indemnify and hold Ooh I Love, its officers, directors, employees, agents and licensors, harmless for any and all damages and losses (including all costs and legal fees) suffered, and which damages and losses either directly or indirectly are caused by or as a result of any such actions by the user.

Users can place bids by either manually clicking the relevant bid button or by using the automatic Bid Assistant function. The Bid Assistant lets users bid on an auction even when they are not on line. The Bid Assistant automatically places bids according to the user's instructions. No user may use any bidding software not authorized by Ooh I Love, and any breach thereof will result in the user's immediate disqualification from any further use of our services, and liability for any and all losses caused. Bids must be purchased and paid for in advance in the form of 'bid packages', at the current prices listed on our website. The fee may be varied by us from time to time. We will include a notice on this Website alerting you when any such variation has been made. Such fees must be paid by you in advance by using our “buy bids” facility. Any variation to our bid fees will not apply to any unused bids you have purchased in advance. Purchased bid packages are non-refundable.

With each bid placed the price of the item on which the user is bidding increases by a pre-set amount. Each new bid resets the remaining time for an auction up to, but not above, the displayed countdown reset time value specified for the Auction Type (usually 10, 15, 20 or 30 seconds). When a bid is placed it is deducted from the bidder's/ user's account. All bids placed are not refundable, unless bidders seek a cash refund of the product they have won. The auction ends if no new bid is placed before the remaining time on Ooh I Love 's servers reaches zero. The auction time is the time used on Ooh I Love 's servers. Sometimes the time may differ from our servers to our users' web browsers. A user's timer should therefore only be viewed as an indication of the auction time. The possible time difference may be caused by a slow internet connection or an old web browser. That means that the browser may show zero even when there is time remaining on the auction. However, this does not mean that the auction is over. Our auction is only over when the timer on Ooh I Love 's server reaches zero before any additional bid is placed. The user who at such time placed the last and highest bid wins the auction, and is obligated to purchase the product at the winning price.

Bids are not valid until they are entered in the Ooh I Love database and registered in our system. Ooh I Love shall not be responsible for any disruptions in the user's computer or internet connection, or because of any errors that may occur as a result thereof, including, but is not limited to, any incorrect countdown of the remaining time, outdated bidder information and bids. Ooh I Love reserve the right to pause all auctions, change the bidding time of on-going auctions and open closed auctions on suspicion of disruptions in operations.

A bid submitted by a user only constitutes his or her irrevocable offer to purchase the item or product in the auction pursuant to the terms the related auction. At the completion of an auction and Ooh I Love 's acceptance of the winning bid, then the user with the winning bid and Ooh I Love will be deemed to have made and entered into a binding contract for the sale and purchase of the product/item, subject to the user's payment of the purchase price, all taxes and shipping costs for the product, and completed the other necessary conditions and steps listed herein below.

The value of the products/items is based on an average price offered by local suppliers, plus any associated costs involved for Ooh I Love to source the product. Ooh I Love cannot guarantee that a corresponding product is available elsewhere at a lower or higher price.

In some auctions we may, in our sole discretion, also offer users a 'Buy It Now' option. The Buy It Now option allows a user to buy the auctioned product using 100% of the value of the bids already spent in that auction. It gives the user the option to purchase the product by paying the difference between the value of the spent bids in that auction and the product value. The product value is the suggested retail price or the average price of internet retailers in the markets that Ooh I Love operate plus any costs associated with providing the products to users (eg. delivery, sourcing costs). The user may only use the value of the bids he or she has placed in the auction up to the product value. If the value of the placed bids is higher than the product value, then the bids in excess of the product value cannot be counted and used towards a Buy It Now purchase. The value of any bids spent above the value of the product will not be refunded. The Buy It Now purchase price can never be below zero. The user can buy the product using the Buy It Now option at any time when the auction is online and up to 24 hours after the auction has closed. When a user decides to buy the product by exercising the Buy It Now option he or she may no longer participate in the auction, and any Bid Assistants that have been placed in that auction will be cancelled and the remaining Bid Assistant bids returned to the user's bid account. The auction will continue uninterrupted for all other users. All purchases pursuant to a Buy It Now option shall be subject to the user's payment in full of all amounts due for the product (including all shipping and handling charges, and sales taxes) within 24 hours after exercise. Unless payment is received in full within such time the user's right and Buy It Now option to purchase and receive the product is automatically withdrawn and cancelled, and the user shall not be entitled to a refund of any bids placed on the product by such user.

Bid packages and products can be paid for using a credit or debit card, or via PayPal or any other payment method permitted and posted on our website. Ooh I Love reserves the right to stop any delivery until it has received payment in full. Ooh I Love shall not be responsible for any payment or shipping problems related to or caused by any action or failure to act at or by any of their suppliers, and without any fault of Ooh I Love.

At the end of an auction, the winning bidder must go to 'My Account', which will display all the necessary information to purchase and receive delivery of the product, such as the total price (including any taxes and shipping costs) and the payment options. The user must actively confirm and pay the total price (end price plus any applicable taxes and shipping costs) for the win by following the steps indicated on that page or elsewhere on the website. Once the winner has clicked on the confirmation button the win is deemed accepted by Ooh I Love, subject to and conditioned upon the winner's payment in full of the total purchase price, all taxes and shipping charges within 30 days. If any product has not been fully paid within such time, Ooh I Love's confirmation and acceptance will be deemed withdrawn and the winner will have forfeited any right to purchase and receive the product. All bids placed in that auction expire and are non-refundable.

Products are typically shipped no later than 14 days after payment confirmation is received. The buyer must also provide an accurate delivery address and telephone number on the account before shipment can be arranged. There may take a few days from shipment from Ooh I Love to delivery to the buyer. Ooh I Love reserves the right to charge the winner reasonable storage charges for items not paid for. An invoice containing the auction price and shipping costs will be sent to the user by Ooh I Love once delivery has been arranged.

Products will be delivered to the address specified by the user under My Account. Any product purchased from Ooh I Love may be returned within fourteen (14) days after delivery, in original condition with all original packaging, tags, documents, and other material. See the "Returns" section of our website for Return details. Unless otherwise stated, all delivery will be made directly from our suppliers or from our warehouse to the address provided by the user. Delivery charges will be paid by the user and will vary depending on delivery location. Ooh I Love's service is normally always available 24 hours per day, 7 days a week. However, we cannot promise or guarantee constant and uninterrupted service. Without limitation to any other disclaimer set forth herein, Ooh I Love shall not be liable for any damage or loss that may occur or be suffered by anyone due to circumstances beyond Ooh I Love's control, including any technical disruption or malfunction or system outage, or overload. In any such event, the current auctions will be temporarily paused and the highest bid will remain. The auctions will continue as soon as the problem has been rectified. Ooh I Love reserves the right to postpone the date and time of an auction's close as a result of unexpected disruptions in operations. Ooh I Love is not responsible for the site becoming overloaded and the consequences thereof.

Ooh I Love shall not be responsible for any damages or losses as a result of any malfunctions or problems in our or our licensors' equipment and/or software and without any fault of Ooh I Love.

Any legal action or proceeding relating to any matter under this Agreement shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the County of Santa Clara, the State of California. The parties waive any and all objections to venue in such courts and hereby submit to the jurisdiction of those courts. The UN Convention on the International Sale of Goods shall not apply. Any claim by a user under this Agreement and terms must be brought within one (1) year after the cause of action arises, or such user's claim or cause of action is barred. No recovery may be sought by a user or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys' fees. In the event of any controversy or dispute between Ooh I Love and you arising out of or in connection with your use of the website, the parties shall attempt, promptly and in good faith, to resolve any such dispute.
